Welcome to Voxly Labs (“Voxly Labs,” “we,” “our,” or “us”).

These Terms of Service (“Terms”) govern your access to and use of the Voxly Labs website, applications, APIs, voice generation services, voice cloning services, and related products and services (collectively, the “Services”).

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services.

By using Voxly Labs, you represent and warrant that:

  • You have the legal capacity to enter into these Terms.
  • All information you provide is accurate and complete.
  • You will comply with all applicable laws and regulations.

2. Account Registration

To access certain features, you may be required to create an account.

You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account.
  • Promptly notifying us of unauthorized access or security breaches.

We reserve the right to suspend or terminate accounts that violate these Terms.

3. Description of Services

Voxly Labs provides AI-powered voice generation and voice cloning tools that allow users to:

  • Generate speech from text.
  • Create voice clones from uploaded audio samples.
  • Produce audio content for personal or commercial use.
  • Access APIs and integrations.
  • Utilize future features released by Voxly Labs.

We may modify, improve, discontinue, or replace any feature at any time.

4. User Content

“User Content” includes:

  • Text prompts
  • Audio uploads
  • Voice samples
  • Generated projects
  • Files submitted through the Services

You retain ownership of your User Content.

By submitting User Content, you grant Voxly Labs a limited, non-exclusive license to process, store, transmit, and use such content solely for providing and improving the Services.

5. Voice Cloning Requirements

Voice cloning technology must be used responsibly.

By uploading any voice sample, you represent and warrant that:

  • You own the voice sample; or
  • You have obtained explicit authorization from the individual whose voice is being cloned.
  • The uploaded content does not violate any laws, regulations, contractual obligations, publicity rights, or intellectual property rights.

You are solely responsible for obtaining all necessary permissions before cloning any voice.

6. Prohibited Uses

You may not use Voxly Labs to:

Illegal Activities
  • Violate applicable laws or regulations.
  • Commit fraud or deception.
  • Facilitate criminal activity.
Unauthorized Voice Cloning
  • Clone a voice without authorization.
  • Impersonate individuals for deceptive purposes.
  • Misrepresent generated audio as authentic recordings.
Harmful Content
  • Harass, threaten, or intimidate others.
  • Promote violence or unlawful conduct.
  • Generate defamatory content.
Platform Abuse
  • Attempt unauthorized access to systems.
  • Reverse engineer the Services.
  • Circumvent usage limitations.
  • Disrupt or interfere with platform operations.
Intellectual Property Violations
  • Infringe copyrights, trademarks, or other rights.
  • Upload content you do not have permission to use.

Violation of this section may result in immediate suspension or termination.

7. AI-Generated Content Disclaimer

AI-generated outputs may contain inaccuracies, errors, or unexpected results.

You acknowledge and agree that:

  • Generated content should be reviewed before publication or use.
  • Voxly Labs does not guarantee factual accuracy.
  • You are solely responsible for how generated content is used.

8. Commercial Use

Unless otherwise stated, users may use generated audio commercially, including for:

  • YouTube videos
  • Podcasts
  • Audiobooks
  • Advertising
  • Marketing campaigns
  • E-learning content
  • Business applications

Commercial use remains subject to these Terms and applicable laws.

9. Intellectual Property

Voxly Labs Property

All rights, title, and interest in the Services, including:

  • Software
  • Models
  • APIs
  • Branding
  • Logos
  • Website content
  • Documentation

remain the exclusive property of Voxly Labs and its licensors.

These Terms do not transfer any ownership rights to users.

User Ownership

You retain ownership of:

  • Original uploaded content
  • Lawfully created projects
  • Generated outputs, subject to these Terms

10. Payments and Billing

Certain Services require payment.

By purchasing Services, you agree that:

  • Fees are charged according to current pricing.
  • Pricing may change in the future.
  • Taxes may apply depending on your jurisdiction.
  • You are responsible for all applicable taxes and charges.

Pay-As-You-Go Credits

Where applicable:

  • Credits may be purchased for platform usage.
  • Credits are non-transferable.
  • Credits have no cash value.
  • Promotional credits may expire.

11. Refund Policy

Due to the nature of digital services:

  • Generated audio usage is generally non-refundable.
  • Voice cloning fees are generally non-refundable once processing begins.
  • Refund requests may be considered on a case-by-case basis.

Nothing in this section limits any mandatory consumer rights under applicable law.

12. Service Availability

While we strive for high availability, we do not guarantee uninterrupted access.

The Services may experience:

  • Maintenance periods
  • Software updates
  • Network interruptions
  • Third-party outages
  • Technical failures

We are not liable for temporary unavailability.

13. API Usage

If API access is provided:

You agree not to:

  • Abuse API rate limits.
  • Resell API access without authorization.
  • Use the API in a manner that harms platform stability.
  • Circumvent authentication or security controls.

Additional API terms may apply.

14. Suspension and Termination

We may suspend or terminate accounts if:

  • These Terms are violated.
  • Fraudulent activity is suspected.
  • Platform security is threatened.
  • Required by law.
  • Continued access poses risk to users or Voxly Labs.

Termination may occur without prior notice in serious cases.

15. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOXLY LABS DISCLAIMS ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY
  • RELIABILITY
  • AVAILABILITY

We do not guarantee that the Services will be error-free or uninterrupted.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

VOXLY LABS SHALL NOT BE LIABLE FOR:

  • INDIRECT DAMAGES
  • INCIDENTAL DAMAGES
  • SPECIAL DAMAGES
  • CONSEQUENTIAL DAMAGES
  • LOSS OF PROFITS
  • LOSS OF DATA
  • BUSINESS INTERRUPTION

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO VOXLY LABS DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions may not allow certain limitations, so portions of this section may not apply.

17. Indemnification

You agree to defend, indemnify, and hold harmless Voxly Labs and its officers, employees, affiliates, and partners from any claims, damages, liabilities, costs, and expenses arising from:

  • Your use of the Services.
  • Your User Content.
  • Your violation of these Terms.
  • Your infringement of third-party rights.
  • Unauthorized voice cloning activities.

18. Compliance With Laws

You agree to comply with all applicable laws regarding:

  • Privacy
  • Intellectual property
  • Consumer protection
  • Artificial intelligence regulations
  • Data protection
  • Voice recording and consent requirements

You are responsible for ensuring your use of generated content is lawful.

19. Third-Party Services

The Services may integrate with third-party providers including payment processors, hosting providers, and analytics platforms.

Voxly Labs is not responsible for third-party services or their policies.

Your use of third-party services may be subject to separate agreements.

20. Governing Law

These Terms shall be governed and interpreted in accordance with the laws of the jurisdiction in which Voxly Labs is registered, without regard to conflict of law principles.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of that jurisdiction.

21. Force Majeure

Voxly Labs shall not be liable for delays or failures resulting from events beyond our reasonable control, including:

  • Natural disasters
  • Government actions
  • Internet outages
  • Cyberattacks
  • Labor disputes
  • Power failures
  • Telecommunications disruptions

22. Changes to These Terms

We may update these Terms from time to time.

When changes are made:

  • The “Last Updated” date will be revised.
  • Updated Terms will be posted on our website.
  • Additional notice may be provided where required.

Continued use of the Services constitutes acceptance of the updated Terms.

23. Severability

If any provision of these Terms is found unenforceable or invalid, the remaining provisions shall remain in full force and effect.

24. Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements referenced herein, constitute the entire agreement between you and Voxly Labs regarding the Services.
